1. Introduction
Welcome to WorldXRide (“Company“, “we“, “us“, or “our“), a service provided by WorldX Multiverse Asto Ltd, a subsidiary of PreciousX Galactic Tech Ltd. These Terms and Conditions (“Terms“) govern your access to and use of our mobile applications (“Apps“), websites, and related services (collectively, the “Services“) as a client (“you“, “your“, or “Client“). By accessing or using our Services, you agree to be bound by these Terms.
2. Definitions
- “Client”: An individual or entity who requests and uses transportation, delivery, or other services through the WorldXRide platform.
- “Driver”: An individual who provides transportation, delivery, or other services via the WorldXRide platform.
- “Services”: The transportation, delivery, and related services provided to Clients through the WorldXRide platform.
- “Platform”: The WorldXRide mobile applications and websites used by Clients and Drivers.
- “Content”: All text, graphics, images, music, software, audio, video, information, or other materials available through the Services.
3. Acceptance of Terms
By downloading, accessing, or using the Services, you acknowledge that you have read, understood, and agree to the WorldXRide Terms and Conditions for Clients, including any future modifications. If you do not agree, you may not access or use the Services.
4. Modification of Terms
We reserve the right to modify the WorldXRide Terms and Conditions for Clients at any time. Any changes will be effective upon posting the updated Terms on our Platform, with the latest revision date indicated. Your continued use of the Services constitutes acceptance of the new Terms.
5. Eligibility
- Age Requirement: You must be at least 18 years old to use our Services.
- Legal Capacity: You represent and warrant that you have the right, authority, and capacity to enter into and abide by these Terms.
- Compliance: You agree to comply with all applicable laws and regulations when using the Services.
6. User Account Registration and Security
6.1 Account Registration
- Required Information: To access certain features of the Services, you must register for an account by providing accurate, current, and complete information during the registration process.
- Verification: We may verify the information you provide and may refuse registration at our discretion.
6.2 Account Security
- Confidentiality: You are responsible for maintaining the confidentiality of your account credentials.
- Unauthorized Access: You agree to notify us immediately of any unauthorized use of your account.
- Single Account Policy: You may not register more than one account unless expressly permitted by WorldXRide.
7. Services Provided
WorldXRide offers a diverse range of transportation and delivery services, including but not limited to:
7.1 Transportation Services
- E-Hailing Rides: On-demand rides using bikes, cars, minivans, and taxis.
- Luxury Transportation: Premium vehicles for a superior travel experience.
- Intercity Travel: Transportation services between cities.
- Private Jets and Yachts: Luxury air and sea travel options.
- Car Rentals: Standard and luxury vehicle rentals.
- Driver and Security Hiring: Professional drivers and security personnel for hire.
7.2 Delivery Services
- Parcel Deliveries: Delivery of packages using bikes, cars, and vans.
- Freight Transportation: Delivery services using small, medium, and large trucks (Class 7 and 8).
8. Booking and Payment Terms
8.1 Booking
- Service Requests: You may request Services through our Platform by providing necessary details such as pickup and drop-off locations.
- Confirmation: Upon acceptance by a Driver, you will receive a confirmation with the details of your booking.
8.2 Payment
- Payment Methods: Acceptable methods include credit/debit cards, mobile payments, and other options provided in the Platform.
- Authorization: By providing payment information, you authorize us to charge all applicable fees to your chosen payment method.
- Fare Estimates: Any fare estimates provided are not guaranteed and may vary due to factors such as traffic, route changes, or additional stops.
8.3 Fees and Charges
- Service Fees: You agree to pay all charges incurred in connection with your use of the Services.
- Taxes and Surcharges: Applicable taxes and surcharges may be added to the charges.
9. Cancellation and Refund Policy
9.1 Cancellation by Client
- Free Cancellation: You may cancel a booking within a specified time frame without incurring a cancellation fee.
- Late Cancellation: If you cancel after the free cancellation period, a cancellation fee may apply.
9.2 Cancellation by Driver
- Driver Cancellation: Drivers may cancel a booking due to unforeseen circumstances. In such cases, you will be notified promptly, and efforts will be made to assign another Driver.
9.3 Refunds
- Eligibility: Refunds may be issued at our discretion in cases such as overcharges, service failures, or other valid reasons.
- Process: To request a refund, contact our customer support within 7 days of the transaction.
10. User Conduct and Obligations
10.1 General Conduct
- Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws and regulations.
- Respectful Interaction: Treat Drivers and other users with respect and refrain from any form of harassment, discrimination, or abusive behavior.
- Prohibited Activities: You agree not to:
- Use the Services for any unlawful purpose.
- Impersonate any person or entity.
- Stalk, threaten, or otherwise harass Drivers or other users.
- Interfere with or disrupt the integrity or performance of the Services.
10.2 Use of the Platform
- Accurate Information: Provide accurate and complete information when using the Services.
- Device Requirements: Use the Platform on compatible devices with reliable internet access.
- No Unauthorized Access: Do not attempt to gain unauthorized access to any part of the Platform or its related systems.
11. Intellectual Property Rights
11.1 Ownership
- Company Content: All rights, titles, and interests in and to the Services, including all intellectual property rights, are owned by WorldXRide or its licensors.
11.2 Limited License
- User Rights: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.
11.3 Restrictions
- Prohibited Actions: You may not copy, modify, distribute, sell, or lease any part of our Services without prior written consent.
12. Privacy Policy
Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and disclose personal information from our users. By using the Services, you consent to the collection and use of your information as outlined in the Privacy Policy.
13. Disclaimers
- As-Is Basis: The Services are provided on an “as is” and “as available” basis. We make no warranties or representations of any kind, express or implied, regarding the operation of the Services or the information, content, or materials included therein.
- Third-Party Services: We are not responsible for the conduct, actions, or omissions of any Drivers or third parties using the Services.
- No Warranty: To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
14. Limitation of Liability
- Indirect Damages: In no event shall WorldXRide be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.
- Maximum Liability: Our total liability to you for any claims arising from your use of the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless WorldXRide, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:
- Your access to or use of the Services.
- Your violation of WorldXRide Terms and conditions for clients.
- Your violation of any third-party rights, including intellectual property rights.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
16.2 Dispute Resolution
- Negotiation: Parties shall first attempt to resolve disputes amicably through good-faith negotiations.
- Arbitration: If unresolved, disputes shall be referred to and finally resolved by arbitration under the Nigerian Arbitration and Conciliation Act.
- Venue: The seat of arbitration shall be Lagos, Nigeria.
- Language: The language of arbitration shall be English.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, along with the Privacy Policy and any additional agreements you may enter into with us, constitute the entire agreement between you and WorldXRide regarding the use of the Services.
