1. Introduction
Welcome to WorldXRide general terms and conditions, WorldXRide is a premier transportation and logistics service provided by WorldX Multiverse Asto Ltd, a subsidiary of PreciousX Galactic Tech Ltd (“Company“, “we“, “us“, or “our“). These General Terms and Conditions (“Terms“) govern your access to and use of our websites, mobile applications (“Apps“), and services (collectively, the “Services“). By accessing or using our Services, you agree to comply with and be bound by these Terms.
2. Definitions
- “User”: Any individual or entity accessing or using our Services, including Riders, Drivers, and Partners.
- “Rider”: A User who requests and receives transportation or delivery services.
- “Driver”: A User who provides transportation or delivery services.
- “Partner”: A User who partners with us for fleet management, deliveries, or other services.
- “Vehicle”: Any mode of transportation used to provide Services, including bikes, cars, minivans, trucks, yachts, and private jets.
- “Content”: All text, graphics, images, music, software, audio, video, information, or other materials.
3. Acceptance of Terms
By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these General Terms, as well as our Privacy Policy, which is incorporated herein by reference.
4. Modification of Terms
We reserve the right to modify these General Terms at any time. Any changes will become effective upon posting the updated General Terms on our website or App. We will indicate the date of the latest revision. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
5. Eligibility and User Account
5.1. Eligibility
- Age Requirement: You must be at least 18 years old to use our Services.
- Legal Capacity: You represent and warrant that you have the right, authority, and capacity to enter into and abide by these Terms and conditions.
5.2. Account Registration
- Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.
- Account Security: You are responsible for safeguarding your account credentials. You agree not to disclose your credentials to any third party and will notify us immediately of any unauthorized use.
- Single Account Policy: You may not register more than one account unless expressly permitted by WorldXRide.
6. Scope of Services
6.1. Transportation Services
We offer a comprehensive range of transportation services, including but not limited to:
- Standard Rides: E-hailing services for bikes, cars, and minivans.
- Luxury Rides: Premium vehicles for a superior experience.
- Intercity Travel: Transportation services to other cities.
- Private Jets and Yachts: Exclusive air and sea travel options.
- Car Rentals: Standard and luxury vehicle rentals.
6.2. Delivery Services
- Parcel Deliveries: From small packages to large freight.
- Vehicle Options: Bikes, cars, small trucks, medium trucks, and large trucks (Class 7 and 8).
6.3. Additional Services
- Driver Hiring: Professional drivers available for hire.
- Security Services: Trained security personnel for personal protection during rides.
- Fleet Management: Services for partners managing multiple vehicles.
6.4. Technology Platform
WorldXRide operates as a technology platform connecting Users. We do not provide transportation or logistics services ourselves but facilitate the connection between Riders and Drivers.
7. User Obligations and Conduct
7.1. General Conduct
- Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws and regulations.
- Respectful Interaction: Treat other Users with respect and do not engage in harassment, discrimination, or any abusive behavior.
- Prohibited Activities: You agree not to:
- Use the Services for any unlawful purpose.
- Impersonate any person or entity.
- Stalk, threaten, or otherwise harass others.
- Interfere with or disrupt the integrity or performance of the Services.
7.2. Rider Obligations
- Accurate Information: Provide accurate pickup and drop-off locations.
- Timeliness: Be punctual for pickups to avoid delays.
- Payment: Ensure that payment information is valid and has sufficient funds.
7.3. Driver Obligations
- Licensing and Documentation: Maintain all necessary licenses, permits, and insurance.
- Vehicle Standards: Keep vehicles in safe and clean condition.
- Professionalism: Provide services with due skill, care, and diligence.
8. Booking and Cancellation Policies
8.1. Booking
- Ride Requests: Riders may request services through the App, providing necessary details.
- Acceptance: Drivers may accept or decline requests based on availability.
8.2. Cancellation
- Rider Cancellation: Riders may cancel bookings, but repeated cancellations may result in penalties or suspension.
- Driver Cancellation: Drivers may cancel under certain circumstances but must provide valid reasons to avoid penalties.
8.3. No-Show Policy
- Riders: Failure to show up at the pickup location may result in charges.
- Drivers: Failure to arrive at the pickup location may result in penalties.
9. Fees, Payments, and Taxes
9.1. Fees
- Service Charges: Fees for services are calculated based on distance, time, vehicle type, and other factors.
- Dynamic Pricing: Rates may vary due to demand, traffic, or other conditions.
9.2. Payments
- Payment Methods: Acceptable methods include credit/debit cards, mobile payments, and other options provided in the App.
- Authorization: By providing payment information, you authorize us to charge all fees incurred through your account.
9.3. Commissions and Payouts
- Drivers: A commission of 6% is deducted from drivers’ earnings.
- Fleet Owners: A commission of 10% is applied to fleet owners.
- Payout Schedule: Earnings are disbursed according to the schedule specified in the Driver Agreement.
9.4. Taxes
- User Responsibility: Users are responsible for all applicable taxes arising from the use of our Services.
- Compliance: Users agree to comply with all tax obligations in their jurisdiction.
10. Intellectual Property Rights
10.1. Ownership
- Company Content: All rights, titles, and interests in and to the Services, including all intellectual property rights, are owned by WorldXRide.
10.2. Limited License
- User Rights: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.
10.3. Restrictions
- Prohibited Actions: You agree not to reproduce, modify, distribute, sell, or lease any part of our Services without prior written consent.
11. Confidentiality
- User Information: You agree to keep confidential any personal information of other Users obtained through the Services.
- Company Information: You shall not disclose any confidential information related to our business operations, technology, or proprietary information.
12. Disclaimers
- No Warranty: The Services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied.
- Third-Party Services: We are not responsible for services provided by third parties, including Drivers and Partners.
13. Limitation of Liability
- Indirect Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Aggregate Liability: Our total liability to you shall not exceed the amount you have paid to us in the last twelve months.
14. Indemnification
You agree to indemnify, defend, and hold harmless WorldXRide, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:
- Your access to or use of the Services.
- Your violation of these General Terms and conditions.
- Your violation of any third-party rights, including intellectual property rights.
15. Termination and Suspension
15.1. By User
- Termination: You may terminate your account at any time through the App or by contacting customer support.
15.2. By Company
- Suspension: We may suspend your access to the Services for investigation in case of suspected misconduct.
- Termination: We may terminate your account for violations of these Terms or any applicable laws.
15.3. Effect of Termination
- Access Rights: Upon termination, you lose all rights to access or use the Services.
- Surviving Provisions: Sections regarding intellectual property, limitation of liability, and indemnification survive termination.
16. Dispute Resolution and Governing Law
16.1. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
16.2. Dispute Resolution
- Negotiation: Parties shall attempt to resolve disputes amicably through negotiation.
- Arbitration: If unresolved, disputes shall be referred to and finally resolved by arbitration under the Nigerian Arbitration and Conciliation Act.
- Jurisdiction: The seat of arbitration shall be Lagos, Nigeria.
17. Force Majeure
We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, or other similar events.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19. Entire Agreement
These General Terms, along with the Privacy Policy and any additional agreements you may enter into with us, constitute the entire agreement between you and WorldXRide.
